These Terms and Conditions govern your use of the CloudWebMall website and the services provided by CloudWebMall, LLC.

1. Service Agreement

By engaging CloudWebMall, LLC for services such as website development, ecommerce setup, conversion optimization, or related digital services, you agree to the terms outlined in your specific Master Services Agreement (MSA) or signed proposal. These web terms apply to general site usage.

2. Payment and Advertising Spend

Unless otherwise agreed in writing:

  • Service fees for agency management are due in advance of the service month.
  • Advertising Spend: Payments to third-party platforms (Google, Facebook, ecommerce apps, software subscriptions, hosting providers, or advertising platforms) are the direct responsibility of the Client. CloudWebMall, LLC is not responsible for funding third-party accounts or for account suspensions caused by payment failures.

3. Intellectual Property

Deliverables developed by CloudWebMall, LLC specifically for the Client will become the property of the Client upon full payment of fees. However, CloudWebMall, LLC retains the rights to its proprietary tools, methodologies, and pre-existing code libraries.

4. Termination

Clients may terminate their service agreement according to the notice period specified in their MSA (typically 30 days). CloudWebMall, LLC reserves the right to terminate access to the site or services for violations of these terms.

5. Limitation of Liability

In no event will CloudWebMall, LLC be liable for any incidental, indirect, consequential, or special damages of any kind, or any damages whatsoever, including, without limitation, those resulting from loss of profit, loss of contracts, goodwill, data, information, income, anticipated savings or business relationships, whether or not advised of the possibility of such damage, arising out of or in connection with the use of this website or any linked websites.

6. Changes to Terms

CloudWebMall, LLC reserves the right to modify these terms at any time. Your continued use of the website or services constitutes acceptance of the modified terms.
